THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL SURVIVE ANY CANCELLATION OR TERMINATION OF YOUR MEMBERSHIP. YOU REPRESENT THAT YOU HAVE THE REQUIRED LEGAL CAPACITY AND THAT YOU ARE OF THE REQUIRED LEGAL AGE TO ENTER INTO THESE TERMS AND THAT NO ONE ELSE HAS ANY INTEREST IN YOUR ACCOUNT.

Dispute Resolution.
Your relationship with Youfill will be governed by the laws of the State of Texas. This Agreement shall be interpreted, construed, enforced, and governed in all aspects in accordance with the exclusive jurisdiction and laws of Texas. Any suit, cause of action, or legal proceeding arising under or relating to your Membership, including this Agreement, shall be in the exclusive jurisdiction and venue of the state courts of Texas, situated in Dallas County, Texas or the federal courts situated in the Northern District of Texas.

 Miscellaneous Terms.
 Entire Agreement. This Agreement constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Agreement will be effective as to that provision only and only if made in writing and signed by Youfill.
Severability. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, the remaining terms shall remain in full force and effect.
 Survival. The provisions of this Agreement that by their nature are intended to survive termination of this Agreement shall survive termination. Effective December 12, 2019.
